The website www.camomile.ch and the services on these pages are provided by Galileo International Impact Investing Centre Bundesplatz 6, 6300 Zug Switzerland. Galileo IIIC is the strong ambassador for impact investing, providing accessible education, increasing capital flow to existing and new impact investing projects and innovating and unifying existing ecosystems.
You must read and accept all the terms and conditions contained in this Agreement in order to become Camomile Ambassador at www.camomile.ch, all subsidiaries, including mobile websites and applications owned by Galileo International Impact Investing Centre and are governed by us or by successors in our interests.
This Agreement has been drawn up in English. If any translation of this Agreement is in conflict with its English version, the English version is given priority.
Galileo International Impact Investing Centre (Galileo IIIC) is an association incorporated in Switzerland with its registered office at Bundesplatz. 6, 6300 Zug, Switzerland, hereinafter referred to as the "Company", on the one hand, and any of the below-mentioned persons enter into this Ambassador Agreement (hereinafter referred to as the "Agreement"):
- Any person registering on the site www.camomile.ch, creating his / her Account hereinafter referred to as the "User"
- Any users joining the “Camomile team” project hereinafter referred to as the "Ambassadors"
1. The terms
For the purposes of this Agreement, the following terms are used in the following meanings:
The site is a website owned by the Company and has an Internet address www.camomile.ch where the User has the opportunity to post information about himself and his business with the purpose of subsequent acquaintance with the information of the Site Visitors.
User - is an individual or legal entity registered on the Site and having its Account on the Site which is entitled to use the Services of the Company through the Site on the basis of this Agreement. The User has the right to create several types of Profiles, edit or delete information in the registered Profiles, and also delete Profiles at any time.
Visitor - any person who has turned to information materials and services of the Company on the Site.
Ambassador – any User who joined “Camomile Team” project.
Camomile Team Project – community of Users which made a voluntary commitment to promote the site www.camomile.ch and help other Users.
Content - any text, audio-visual and other materials, including design elements, text, graphics, illustrations, videos, scripts, events, investing, polls, products and services, programs, music, sounds and other objects and their collections posted on the Site by Users or by the administration of Camomile.
Services - all services, applications and products that are accessible through the Site and all mobile applications that reference this Agreement provided by us.
All other terms and definitions not specified in paragraph 1 of this Agreement shall be determined in accordance with the interpretation established in the Internet, the practice of business turnover and the current legislation of the Swiss Confederation.
2. Subject of the Agreement
2.1. This Agreement concerns the use of the Site, the Services of the Company and other conditions that govern the access procedure for Ambassadors, the order of posting information, and the use of the Site and all its functions, including changes and additions, periodically made by the Company (Ambassador Agreement).
2.2. On the basis of this Agreement, the Ambassador has the right to post Content, create Events, Products and Services, Projects, Polls, receive information posted on the Company's Site, independently enter into correspondence with other Users, participate in the discussion on the Forum and other materials posted on the Site, and perform other activities provided for by the Site and not contrary to applicable law.
2.3. All rights to the Site as a whole and to the use of the network address (domain name) belong to the Company. The specified network address gives access to the Site to all interested parties in accordance with the terms of this Agreement and other documents placed in the relevant sections of the Site, as well as with the current legislation of the Swiss Confederation.
3. Rights and obligations of the Company
3.1. The Company has the right to amend and/or supplement the terms of this Agreement unilaterally without any special notification from the Ambassador. This Agreement is an open and public document. The current version of the Agreement is on the Company's website at: www.camomile.ch. The Company recommends Ambassadors to regularly check the terms of this Agreement for changes and/or additions. Continued use of the Site after the Company makes changes and/or additions to this Agreement means unconditional and complete acceptance and acceptance of such changes/additions.
3.2. In case of violation by the Ambassador of the terms of this Agreement, the Company has the right to block access to the Site for the specified Ambassador, as well as to cancel the Profile and/or the Ambassador Account with or without advance notification.
3.3. The Company can communicate with Ambassadors and send out notices in the following ways:
1) using a banner or a pop-up window on the Site;
2) by means of an e-mail message sent to the address specified during registration of the Ambassador;
3) by any other means, including by means of mobile, landline or regular mail. By registering Account and entering into this Agreement, the Ambassador agrees to receive notices from the Company and/or its partners.
If the Ambassador does not wish to receive the information specified in this clause, he must leave “Camomile Team” project.
3.4. The Company has the right to delete any Content at its own discretion, either with prior notification or without it.
3.5 The Company performs current management of the Site, determines its appearance and structure, allows or restricts Ambassadors access to the Site and carries out other actions necessary for the normal functioning of the Site.
3.6 The Company has the right, at its discretion, to modify, suspend or terminate the provision of any Service, and to change and adjust prices.
3.7 The company is not a data storage service. By accepting this Agreement, the Ambassador agrees that the Company does not undertake any obligation to store, maintain or provide to the Ambassador a copy of any Content, Articles or Information except what is required by law and in accordance with the terms of the Company's Privacy Policy.
4. Rights and obligations of the Ambassador
4.1. Joining the “Camomile Team” project is free and voluntary.
4.2. The Ambassador is responsible for the accuracy, completeness, legality and purity of third party claims, and the right to use information provided during registration and use of the Site, as well as Content posted on the Site.
4.3. The agreement is concluded when the Ambassador joined “Camomile Team” project.
4.4 Joining “Camomile Team” project, the Ambassador agrees and confirms that he:
1) has full legal capacity in accordance with applicable law;
2) the data and information provided by him are valid and current;
3) each of the Ambassador’s activities will be considered by the automation tools that instantly and automatically distribute points.
4.5. By entering into this Agreement, the Ambassador agrees to the collection, storage, processing and transfer of his personal data and their use by the Company in order to fulfill the obligations to the Ambassador in accordance with this Agreement.
4.6. The login and password selected by the Ambassador are necessary and sufficient information for the Ambassador to access his Account. The Ambassador does not have the right to transfer his login and password to third parties, bear full responsibility for its safety, independently choosing the way of their storage. The Ambassador on the hardware-software used by him can authorize the storage of the login and password (using cookies) for subsequent automatic authorization on the Site.
4.7. The Ambassador is responsible for everything that happens in connection with his Account and Profiles until he closes them or informs about their misuse by other persons. In the event of unauthorized access to the login and password and/or the Ambassador Account, or the distribution of the login and password, the Ambassador is obliged to immediately notify the Company thereof by sending an email to: info@camomile.ch
4.8. If the Ambassador provides incorrect information, or the Company has reason to believe that the information provided by the Ambassador is incomplete and/or unreliable, the Company has the right, at its discretion, to block the Account and/or Ambassador Profiles and refuse the relevant Ambassador to use the Company Site.
5. Membership
5.1. The Ambassador receives a Free Membership level with a trial period and possibility of further renewal.
6. Permitted and prohibited activities
6.1. Permitted actions. When using www.camomile.ch, it is allowed and recommended:
6.1.1. comply with all applicable laws, including, inter alia, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws and regulations;
6.1.2. create Content, follow Users, make conversations, vote, comment, create events, polls, post on Forum, etc.;
6.1.3. use the Services professionally for Camomile promotion.
6.2. Prohibited actions. When using www.camomile.ch, the Ambassador is prohibited from:
6.2.1. Use the Site in any way that violates the terms of this Agreement and / or the provisions of applicable law;
6.2.2. Mislead, defame, insult, threaten or otherwise infringe on the rights and freedoms of other Users, the Company, Visitors and / or any other third parties;
6.2.3. Violate the rules established by this Agreement, including placing offensive, unreliable Content, violate the generally accepted rules of business ethics;
6.2.4. Copy, modify, delete, supplement, publish, transfer objects of rights to the results of intellectual activity of the Company, Users and / or any other third parties, create derivative works, manufacture or sell products based on them, reproduce, display or any other to exploit or use such rights of third parties without the direct permission of their owners;
6.2.5. To disclose information without the right to disclose it (for example, confidential information of other persons, including their partners, colleagues, customers, etc.);
6.2.6. Use the Company Website in a malicious manner or in a way that could disrupt the normal and uninterrupted operation of the Site;
6.2.7. To exercise or attempt to access the Company's Site, or any part/function of the Site, or any network connected to the Site in an unauthorized manner;
6.2.8. Without the consent of other Ambassadors or other third parties, to post any personal information relating to such persons, to illegally collect and/or process personal data of other Ambassadors and/or other third parties;
6.2.9. Send spam to others;
6.2.10. Use any devices, programs or processes, algorithms or any other automatic devices to access the Site, purchase, copy or track any part thereof, bypassing the Site navigation system used, to obtain or attempt to obtain any materials, documents or information using any means not specifically provided through the Site.
6.3. The Company has the right to remove or restrict access to any information posted on the Site, or block access to the Site by the Ambassador, without prior notification of the Ambassador and without explaining the reasons for such action on the part of the Company.
7. The order of posting Content. Intellectual property
7.1. The Ambassador himself places the Content on the Site, filling out all necessary fields in a text editor.
7.2. To post the Content the Ambassador must fully read the terms of this Agreement, the Site rules and the Privacy Policy.
7.3. By posting the Content, the Ambassador confirms that he has all the copyrights to the content contained in the Content. In the event that the Company finds violations of the placement of the Content and the Ambassador does not have these rights, the Company may, without warning the Ambassador, block the Content, with the posting of information on copyright infringement or other rights.
7.4. All elements of the Content posted on the Site are the objects of the exclusive rights of their rightful owners.
7.5. Except for the cases provided for in this Agreement and the applicable law of the Swiss Confederation, no Content may be copied, reproduced, distributed, displayed in a frame, published, downloaded, transmitted, sold or otherwise used in whole or in part without prior permission the rightsholder, except in cases when the rightsholder expressly expressed his consent to the free use of the Content by any person.
8. Responsibility
8.1. The Company may, at its own discretion, edit (moderate) information about Profiles posted by Ambassadors on the Site, in terms of spelling and stylistic changes. The company does not have the ability to verify the Content published by Ambassadors, and, accordingly, cannot guarantee its quality, safety, reliability and legitimacy. The company makes no statements about the qualifications, experience, personality or abilities of Ambassadors. In this regard, the Company shall not be liable to the Ambassadors and Users for any erroneous and / or inaccurate information indicated on the Site.
8.2. The Company is not liable for any damage or damages caused to Ambassadors or Users caused by errors or inaccuracies in the information specified by Ambassadors on the Site and the Content posted by them. The company is relieved of responsibility in connection with the use of templates of documents posted on the Site. All possible disagreements are solved by the Ambassadors themselves. The company, in turn, makes every effort to resolve the differences that have arisen.
8.3. In the absence of access to the Site, either in whole or in part, due to maintenance or other technical works that ensure the normal operation of the Site, the Company shall not be liable to Ambassadors and Users for failure to receive any information.
8.4. The Ambassador and the User are liable for any damage that may result from the use of materials posted on the Site.
8.5. Responsibility for any problems arising during the work of the Ambassador on the Site is the sole responsibility of the Ambassador. The Company is not liable for any loss or damage to the Ambassador arising out of the problem caused by the use of the Site.
9. Confidentiality and protection of personal data
9.1. The Ambassador understands and agrees that he will have access to confidential and proprietary information in relation to the business and operations of Company. For purposes of this Agreement, “Confidential Information” means and will include any information, materials or knowledge regarding Company activity: including business, financial conditions, operations, products, techniques, customers, suppliers, technology or research and development that is disclosed to the Ambassador or to which the Ambassador has access in connection with “Camomile Team” project.
9.2. Confidential Information will not include, however, any information that is or becomes part of the public domain through no fault of the Ambassador or that Company regularly gives to third parties without restrictions on use or disclosure. All Confidential Information remains the sole and exclusive property of the Company. The Ambassador agrees to hold all Confidential Information in strict confidence and not to disclose it to any third party.
9.3. By accepting the terms of this Agreement, the Ambassador agrees to the processing of his personal data both with the use of automation tools and without the use of automation facilities, in particular the collection, storage and use of data by the Company in order to fulfill obligations to the Ambassador in accordance with this Agreement.
9.4. Despite the fact that the personal data voluntarily provided by the Ambassador becomes available to both the Company and other Users and also to Site Visitors, the Company, when processing such personal data, is committed to take all organizational and technical measures to protect them against unauthorized access by persons. The Company has the right to use information voluntarily provided by the Ambassador, including personal data, in order to ensure compliance with the requirements of the current legislation of the Swiss Confederation (including with a view to preventing and / or suppressing unlawful and / or unlawful actions of Users), and in accordance with the European Regulation Union 2016/679 of April 27, 2016 (GDPR - General Data Protection Regulation). Disclosure of the information provided by the User can be made only in accordance with the current legislation of the Swiss Confederation at the request of the court, law enforcement agencies, as well as in other cases provided for by law.
9.5. Due to the terms of this Agreement, the Ambassador expressly agrees:
● with the provision of their personal data to the Company;
● processing of personal data by the Company;
● with other actions of the Company regarding such data in connection with the operation of the Site.
9.6. In case of disagreement of the Ambassador with the above conditions, he must immediately leave the “Camomile Team” project.
9.7. The company processes personal data voluntarily posted by the Ambassador on the Site, using the software and hardware of the Site. The purpose of processing is the fulfillment by the Company of the terms of this Agreement, ensuring the Ambassador's ability to use the services and functionality of the Site. Personal data of the Ambassador are processed during the term of their posting on the Site. The processing of personal data is terminated by the Company from the moment of their removal by the Ambassador from the Company's Site.
9.8. Detailed information on the protection of personal data is contained in the Company's Privacy Policy, located at: www.camomile.ch, which the Ambassador is required to review before using the Site.
10. Settlement of disputes
10.1. Any claims of the Ambassador arising in connection with the execution of this Agreement shall be submitted to the relevant persons - the Company and / or Ambassadors and / or other third parties whose actions / omissions resulted in the occurrence of such claims from the Ambassador.
10.2. All disputes, disagreements and claims that may arise in connection with the implementation of this Agreement shall be settled by the Parties through negotiations.
10.3. By accepting this Agreement, the Parties agree that any disputes related to this Agreement and / or the Services shall be governed solely by the laws of the Swiss Confederation without regard to conflict of laws rules. The Company and the Ambassadors agree that all such claims can only be considered in the court of the city of Zug, with the possibility of consideration in the Federal Tribunal, and also consent to personal jurisdiction in these courts.
